Three years ago, the Brkaway team set out to make it easier for brands, agencies, and creators to connect and work together seamlessly. Early in that journey, we met Winclap, one of our first and most active users. From the outset, we shared a common mission to streamline collaborations, turning complex workflows into seamless experiences. Winclap’s real-world needs and feedback helped shape how the Brkaway Platform evolved. Today, we’re excited to announce the next chapter in that journey.

Winclap Technology LLC (“Winclap”), a global growth transformation company, has acquired the Brkaway platform (the “Platform”) and related assets from Brkaway Media Inc. (“Brkaway”). This transaction, effective December 10, 2025, will support continued innovation in the services, including the Platform (the “Services”) you rely on.

What this mean for you

No disruption 

Your access, data, features, pricing, and subscription remain unchanged. There will be no interruption in service. As part of this transition, content creators using PayPal or Stripe to process payments will be required to reconnect and reauthorize their payment accounts within the Platform in order to continue processing payments.

Material changes to Terms of Service and Privacy Policy

To align with its operations and standard practices, Winclap is making material updates to the Terms of Service, effective as of January 23, 2026, and to the Privacy Policy, effective as of December 23, 2025, the date of this notice.

The key material changes are:

• Winclap Technology LLC as the new service provider and data controller, along with updated contacts, notice addresses, and privacy inquiry details.

• Terms of Service – Governing law: Changing from the laws of the Province of Ontario and the federal laws of Canada to the laws of the State of New York, United States (without regard to conflict of laws principles). 

• Terms of Service – Jurisdiction: Changing to the state and federal courts located in New York County, New York, for resolution of disputes (exclusive jurisdiction).

• Terms of Service – Waiver of jury trial: Adding a provision under which both parties waive the right to a jury trial in any dispute, meaning disputes will be decided by a judge (bench trial).

Your data and how Winclap will use It

Winclap is now the controller for personal data related to the Services, obtained from Brkaway Media Inc. as part of a business transaction under applicable law.  

Winclap processes categories of data such as account and profile information, payment details, portfolio content, and technical usage data. This data is used by Winclap only for the same purposes for which it was originally collected. Winclap’s legal bases for processing include performance of a contract, legitimate business interest, legal compliance, and your consent.

Data sharing and international transfers

Winclap will share data with trusted service providers (e.g., for hosting, analytics, and payments) bound by appropriate safeguards. If Winclap transfers your data internationally, it will use appropriate safeguards to protect it. 

Data retention

Winclap will keep personal data as long as needed to provide the Services and meet legal requirements. Winclap may also retain aggregate information beyond this time for research purposes and to develop and improve the Services.  

Your data protection rights

Subject to applicable law, you may have the right to request access to, correction of, or deletion of your data; to restrict or object to Winclap’s processing of your data (including for direct marketing); and to data portability. If Winclap processes your data based on consent, you may have the right to withdraw that consent at any time. You may also have the right to lodge a complaint with your local data protection authority.
